Colombini Group Colombini Group acquires 60% of the Bontempi Casa Group.

This transaction represents the first steps towards a national hub of the furniture industry.

San Marino, August 2nd 2021. The Colombini Group, leader in Italy in the furnishing industry with its Rossana, Febal Casa, Colombini Casa, Offic’è and Colombini Group Contract brands, has acquired 60% of the Bontempi Casa Group. A company from the Marche region that produces furniture and accessories for the living and sleeping areas of a modern and refined design, through the Bontempi Casa and Ingenia brands.

The Bontempi Group, based in Camerano, in the province of Ancona, is today one of the most well-known and dynamic realities of furniture productions, with high quality and income standards. In 2019, before the pandemic, it recorded a turnover of approximately 35 million euros and closed 2020 with economic indicators consistent with the previous year. Positive results are expected to be confirmed this current year. During the first half of 2021 the company recorded a turnover increase of approximately 25% compared to 2019.

The Colombini Group will independently finance the operation, partly using a credit line dedicated to the acquisition.

This acquisition is part of Colombini Group’s broader strategy. Thanks to growth through aggregations, an increasingly dynamic retail development and a strengthened international penetration, its goals are to become the real hub of the furniture industry in Italy. Family moulded, both in terms of size and breadth of the offer. Indeed, the Bontempi product portfolio will allow the Colombini Group to further strengthen its presence and respond to the growing demands of the furniture market.

The new Board of Directors of Bontempi Casa is composed of 5 members, 3 of which are from the Colombini Group and 2 from the Bontempi family that will maintain operational leadership of the company.

The Colombini Group has been assisted by the law firms BNM for the legal part and Fieldfisher for the legal/environmental part; by Ethica Group for the debt advisory and support to the M&A, managed by Studio Canestrari & Crescentini Associati, which has also carried out the accounting and fiscal due diligence, and by Long Term Partners for the business due diligence. Bontempi Casa was assisted by Studio Legale Sabatini for legal matters and by CF&S for due diligence and M&A support.
